The Companies Act, 1994 (Act No. 18 of 1994)

The Companies Act, 1994 is the primary legal framework governing the formation, registration, management, operation, and winding-up of commercial entities and companies in Bangladesh. Enacted on September 12, 1994, and coming into force on December 1, 1994, it consolidated and amended the earlier Companies Act of 1913. It serves as the legal backbone for statutory regulatory authorities such as the Registrar of Joint Stock Companies and Firms (RJSC) and Bangladesh Bank. The Act has undergone major modernization updates, including the Companies (Amendment) Act 2020, which introduced provisions for One Person Companies (OPC).
